Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the SIA platform at sia.vision and the NFC service at nfc.sia.vision (collectively, the “Service”), operated by Kant LTD, a private limited company registered in England and Wales (company number 16916607), with its registered office at 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement and that all registration information you provide is truthful and accurate.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

4. The Service

SIA provides:

• Story creation tools — AI-assisted creation of storyworlds, scenes, characters, scripts, images, and video.
• IP protection — on-chain registration of intellectual property, programmable licensing, and royalty management via Story Protocol and supported blockchain networks.
• NFC services — provisioning, authentication, and verification of NFC-enabled physical objects linked to digital content and on-chain records.
• Collaboration — real-time collaborative editing and sharing features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

5. Your content and intellectual property

You retain ownership of all content you create on the platform, including storyworlds, scenes, characters, scripts, and uploaded media (“Your Content”).

By using the Service, you grant Kant LTD a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display Your Content solely as necessary to provide and improve the Service. This licence terminates when you delete Your Content or your account, except where retention is required by law.

You represent that you have the right to upload and use all content you submit, and that Your Content does not infringe any third party’s intellectual property rights.

6. AI-generated content

The Service uses third-party AI providers to generate text, images, and video at your request. AI-generated outputs may not always be accurate, appropriate, or free from errors. You are responsible for reviewing and editing all AI-generated content before use or publication.

Ownership of AI-generated content is subject to the terms and policies of the underlying AI providers. We make no guarantees regarding exclusivity or uniqueness of AI-generated outputs.

7. On-chain IP registration and licensing

When you register IP on-chain through the Service, transactions are recorded on public blockchain networks (including Ethereum, Base, Story Protocol, and Solana). You acknowledge that:

• Blockchain transactions are irreversible and publicly visible.
• On-chain data cannot be deleted due to the immutable nature of blockchain technology.
• Licensing terms you set on-chain are binding and executed automatically through smart contracts.
• Gas fees and network conditions are outside our control and may affect transaction timing and cost.

8. NFC provisioning and physical objects

NFC provisioning features are available to authenticated users with authorized devices. When using NFC services:

• You must keep device credentials, access tokens, and provisioning keys secure.
• You are responsible for the physical objects you provision with NFC tags.
• Provisioning is subject to device compatibility and tag specifications (NTAG 424 DNA).
• We are not liable for damage to physical objects during or after the provisioning process.

9. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload content that is defamatory, obscene, hateful, or infringes on any third party’s rights.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Interfere with or disrupt the Service, including by introducing malware or engaging in denial-of-service attacks.
• Scrape, crawl, or use automated means to access the Service without our written permission.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.

10. Fees and payment

Certain features of the Service may require payment. All fees are stated in the applicable currency at the time of purchase. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled in accordance with applicable consumer protection laws.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI-generated content is provided without warranty as to accuracy or completeness.

12. Limitation of liability

To the maximum extent permitted by law, Kant LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.

13. Indemnification

You agree to indemnify and hold harmless Kant LTD, its directors, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third party’s rights.

14. Termination

You may close your account at any time. We may suspend or terminate your access to the Service at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
